Terms and Conditions

These Terms & Conditions govern participation in the Developers.Net Affiliate Network Program (the “Program”) and outline eligibility, obligations, and reward processes. By submitting the form and participating in the Program, you (“Affiliate”) agree to the following terms, which are applicable and enforceable within the United States:

1. Program Overview

Affiliates may earn a one-time finder’s fee of $5,000 USD for each eligible referral resulting in a qualified new client hire, specifically for staff augmentation engagements, as detailed below.

2. Program Eligibility

This promotional program is valid exclusively for referrals in the United States and Canada submitted and completed by December 31, 2025.

All participants must:

• Complete an onboarding call with Developers.Net.
  •  Participation in this onboarding call does not obligate Developers.Net to accept the participant as an affiliate. Developers.Net reserves the right to accept or deny any affiliate submission.
    
• Be formally accepted as an Affiliate
  
• Confirm affiliate information
  
• Register and confirm book of business eligibility
  
• Sign a Finder’s Fee Agreement
  

3. Definition of a “New Client”

 A “new client” is defined as an individual or company that has never previously engaged, contracted with, or held an active relationship of any kind with Developers.Net.

The finder’s fee applies exclusively to the first hire made by the new client under a qualifying staff augmentation contract.

Referrals involving existing, former, or already registered clients are not eligible.

4. Book of Business Registration

A “Book of Business” is defined as referrals the affiliate intends to pursue to place candidates.

• During onboarding, affiliates may submit up to five (5) potential contacts (their “Book of Business”).
  
• Each contact will be timestamped and registered, valid for a maximum of 30 calendar days from registration to schedule a meeting.
  

5. Referral Meeting Scheduling Requirements

 Affiliates must:

• Personally schedule meetings between their referred contacts and Developers.Net using the provided Calendly link.
  
• Ensure contacts are fully briefed on the meeting’s purpose: evaluating Developers.Net’s software staffing services.
  
• Schedule meetings within 30 days of registration; failure to do so will release the contact for other affiliates.
  

6. Referral Validity & Exclusivity

• Referrals are valid only if the contact was not previously registered or actively engaged in discussions with Developers.Net.
  
• Contacts previously registered but expired due to inactivity (no meeting within 30 days) become eligible for other affiliates.
  

7. Qualified Hire Criteria

Affiliates shall receive a one-time commission of $5,000 USD for each new client referred to Developers.Net (“Company”), provided the following conditions are met:

• The referred client hires at least one software developer talent through the Company.

• The client has signed all required documents, including NDA, MSA, and SOW(s).

• The initial Statement of Work (SOW) must be for a minimum term of three (3) months.

• The client has made full payment of their first invoice.

Note: This referral commission only applies to staff augmentation engagements involving dedicated software developers. Short-term projects, fixed-bid work, consulting engagements, or non-staff augmentation services are not eligible for the $5,000 referral fee.

However, if an Affiliate introduces a client that results in other types of paid work outside of staff augmentation, the Company will evaluate the opportunity on a case-by-case basis to determine an appropriate referral or sales commission based on the scope, value, and nature of the engagement.

8. Payment Terms

Upon meeting the above criteria, the finder’s fee of $5,000 USD will be issued only after Developers.Net receives full payment of the first invoice related to the hire.

• Payment to the Affiliate will occur within five business days following the above confirmation.
• Payment method will align with details provided during onboarding.
• Affiliates may be required to submit a W-9 form (U.S.) or equivalent tax form.

9. Independent Relationship 

Participation in the Program does not create an employment, contractual, agency, or representative relationship between the Affiliate and Developers.Net.

• Affiliates have no entitlements or compensation beyond the stipulated finder’s fee.

10. Legal & Tax Compliance

• Affiliates are responsible for compliance with U.S. tax reporting obligations and applicable local, state, and federal laws.
• Developers.Net will comply fully with U.S. tax reporting regulations and may issue tax documentation as required by law.

11. Program Integrity

The program is designed strictly for warm, relationship-based introductions. Cold outreach, use of scraped contact lists, and mass submissions are prohibited.

• Developers.Net reserves the right to disqualify or suspend affiliates who engage in unethical behavior or misuse of the program.

12. Modifications

 Developers.Net reserves the right to modify or terminate the program at any time without prior notice. Referrals submitted before any changes will be honored under terms effective at the time of submission.

These Terms & Conditions are expressly governed by and enforceable under applicable U.S. law.
